Terms of Service

These terms govern your use of the NovaPath Digital website and any web design, development, hosting or support services we provide. Please read them carefully.

1. About us

This website is operated by NovaPath Digital, a business registered in Ireland under CRO number 777481, based in Gorey, Co. Wexford. You can reach us at support@novapathdigital.com or 089 262 6788.

By accessing this website you agree to these terms. If you do not agree, please do not use the site.

2. Services and quotations

We provide website design, development, web applications, local SEO, conversion optimisation, ongoing support and managed hosting. Prices shown on this website are indicative starting points and are not an offer. A binding agreement is formed only when we issue a written proposal or quote and you accept it in writing.

Each project has an agreed scope, timeline and price. Work beyond the agreed scope is quoted separately before it begins.

3. Payment terms

Unless otherwise agreed in writing, a deposit is payable before work begins and the balance is due on completion, before the site goes live. Recurring plans such as care plans and managed hosting are billed monthly in advance and continue until cancelled.

Invoices are payable within 14 days. We may suspend services on overdue accounts after giving notice. All prices are in euro and exclusive of any applicable taxes unless stated otherwise.

4. Your responsibilities

To deliver on time we need you to provide content, images, brand assets, access credentials and feedback within reasonable timeframes. You confirm that any material you supply is accurate, lawful and that you own it or have permission to use it. Delays in supplying materials or feedback may extend the project timeline.

5. Intellectual property

On full payment, ownership of the final website design and custom content created specifically for you transfers to you. We retain ownership of our underlying tools, frameworks, code libraries and reusable components, and we grant you a perpetual licence to use them as part of your website.

Third-party assets (fonts, plugins, stock imagery, hosting and platform services) remain subject to their own licences. Where a subscription-based plan is used, the website remains licensed to you for the duration of the subscription as set out in your proposal.

Unless you ask us not to, we may display your project in our portfolio and marketing materials.

6. Cancellation and refunds

Either party may cancel a project in writing. Deposits cover work already scheduled and carried out and are non-refundable. If you cancel mid-project, you pay for work completed up to the cancellation date.

Monthly plans can be cancelled with 30 days' written notice; fees already paid for the current period are not refunded.

Where you are a consumer contracting at a distance, you have a 14-day right of withdrawal under the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013. If you ask us to start work during that period, you must pay for the value of the work performed up to the point you cancel.

7. Hosting, support and uptime

Managed hosting and care plans are provided on a best-efforts basis using reputable third-party infrastructure. We do not guarantee uninterrupted service and are not liable for downtime, data loss or issues caused by third-party providers, your own hosting choices, or changes you or third parties make to the site.

8. Acceptable use of this website

You agree not to misuse this website, including attempting to gain unauthorised access, introducing malicious code, scraping at scale, or using our forms to send unlawful, abusive or spam content. We may block access where misuse is suspected.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Irish law.

Subject to that, our total liability arising from any project is limited to the fees you have paid to us for that project in the preceding 12 months. We are not liable for indirect or consequential loss, including lost profits, lost revenue or loss of data.

10. Privacy and data protection

We process personal data in line with our Privacy Policy and the GDPR. Where we handle personal data on your behalf (for example while hosting or supporting your website), we act as a data processor under your instructions and appropriate data processing terms.

11. Governing law and disputes

These terms are governed by the laws of Ireland and the courts of Ireland have exclusive jurisdiction. Consumers may also use the European Commission's Online Dispute Resolution platform.

We may update these terms; the version published on this page at the time you engage us applies to that engagement.
